* CONFIDENTIALITY AGREEMENT *

RECIPIENT: Jointly and severally, the individual(s) or entity(ies) named in the signing section as the Applicant (“Applicant”)

PROVIDER: Two Dollar Things Plus Franchise Ltd (“Franchisor”)

A. The Franchisor, being the owner and licensor, possesses, has developed, and acquired substantial valuable data pertaining to the operations, franchisees, system, and intellectual property of the Two Dollar Things Plus Franchise (“Two Dollar Things Plus Business”).

B. The Applicant, aspiring to apply for a franchise under Two Dollar Things Plus, requests access to relevant information concerning the Two Dollar Things Plus Business.

C. The Franchisor consents to disclose specific Confidential Information relating to the Two Dollar Things Plus Business to the Applicant, subject to the terms stipulated in this Agreement.

D. The Applicant acknowledges the Franchisor's entitlement to safeguard and maintain the confidentiality of the Confidential Information.

1.1. The term "Confidential Information" within this Agreement denotes:

(a) any information utilized by the Franchisor and/or its affiliates, associated with the Two Dollar Things Plus Franchise, System, Intellectual Property, their dealings, functions, and matters, including the associates and franchisees of Two Dollar Things Plus; and/or

(b) all other data designated or regarded as confidential by the Franchisor; and/or

(c) all records, reports, notes, and data (irrespective of its tangible form) based on, derived from or incorporating information mentioned in sections (a) or (b); and/or

(d) all reproductions (regardless of their tangible form) of the information, notes, reports, and records referenced in sections (a), (b), (c); and

(e) information that is not generally known to the public (unless due to a violation of a party's confidentiality obligation).

1.2 The Applicant:

(a) is obligated to maintain the confidentiality of any Confidential Information divulged to the Applicant and/or its associates by the Franchisor or its representatives, or of which the Applicant becomes aware, barring information that is otherwise publicly known not due to any unauthorized disclosure or breach of confidentiality by the Applicant, its associates, or any of its permitted discloses; and

(b) may only disclose any Confidential Information for which the Applicant is bound by confidentiality under paragraph (1) to:

(i) the Applicant’s officers or employees or financial, legal or other advisers who:

(A) require the information to determine whether to pursue a franchise under Two Dollar Things Plus; and

(B) commit to the Applicant (and, if demanded by the Franchisor, to the Franchisor as well) a similar obligation of confidentiality to that committed by the Applicant under this clause 1.2; or

(ii) with the prior written consent of the Franchisor.

2.1 This Agreement is subject to the laws of New Zealand, and the parties irrevocably submit to the exclusive jurisdiction of the courts in this country.

2.2 In the event that any clause of this Agreement is deemed invalid or unenforceable, it shall be severed, and the remaining provisions shall not be impacted or impaired, with this Agreement being interpreted to most closely reflect the original intentions of the parties as at execution.

2.3 Any failure or delay by either party to enforce any right, power, or remedy herein shall not diminish or forfeit such right, power, or remedy, nor shall it be construed as a waiver thereof.

2.4 The Applicant enforces this Agreement as a Deed.
